Terms of Service

Acceptance

By creating a Viva Ops account or using any part of the service, you agree to these Terms of Service. If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these terms, and the term "you" refers to that entity.

About Viva Ops

Viva Ops is an AI-powered operations intelligence platform that automates repetitive business processes across functions such as finance, HR, support, and supply chain. The service includes workflow automation, AI agents, a decision copilot, integrations with common business systems, and an audit and observability layer.

Viva Ops is an automation and decision-support tool. It is not a substitute for human judgement in regulated decisions (financial advice, legal advice, medical diagnosis, hiring decisions with adverse impact, or any decision required by law to be made by a qualified human). You retain full responsibility for decisions made on the basis of Viva Ops outputs.

AI Output Disclaimer

Outputs generated by AI agents (summaries, recommendations, drafts, classifications, extracted data) may contain errors, omissions, or fabricated information. Viva Ops provides reasonable safeguards but cannot guarantee accuracy.

  • Review AI output before acting on it, especially for high-impact or irreversible decisions
  • Do not feed regulated content (PHI, payment card data, classified material) into AI agents unless your plan and configuration permit it
  • AI outputs are not legal, medical, financial, or other professional advice
  • You remain responsible for the final decisions and actions taken in your business

Subscription & Plans

Viva Ops is offered on the following plan structure. Specific quotas, pricing, and features for your account are defined in your order form or self-serve subscription:

  • Starter — for small teams adopting their first AI workflows; metered by workflow runs and seats
  • Growth — for scaling teams; expanded run quotas, SSO, custom integrations, priority support
  • Enterprise — custom contracts with VPC isolation, regional data residency, dedicated support, and a named CSM

All published prices are in USD unless otherwise stated. Annual plans are billed upfront. Prices may change with at least 30 days' advance notice to existing subscribers, taking effect at the start of the next renewal period.

Free Trial

New Starter and Growth subscribers receive a 14-day full-feature free trial. No credit card is required. At trial end, your workspace automatically pauses unless you choose a paid plan; you may resume by subscribing within 30 days without losing your configuration.

Billing & Payment

Paid subscriptions are billed in advance — monthly on your billing date or annually on your renewal date. Self-serve payments are processed by Stripe; Enterprise customers may pay by invoice. By providing payment details, you authorise Viva Ops to charge the applicable fees on each billing cycle.

If a payment fails, we will retry up to three times over 7 days and notify your billing contact by email. Accounts with failed payments may be temporarily limited until payment is resolved.

Cancellation & Refunds

  • You may cancel your subscription at any time from the admin console.
  • Cancellation takes effect at the end of the current billing period — you retain access until then.
  • Monthly subscriptions: no refunds for the current period after cancellation.
  • Annual subscriptions: pro-rata refund available within 30 days of the renewal date if you have used less than 2 months of the term.
  • Enterprise contracts follow the cancellation terms set out in the order form.

Acceptable Use

You agree not to use Viva Ops to:

  • Process content that violates applicable law (CSAM, sanctions evasion, fraud, etc.)
  • Generate or distribute malware, phishing content, or targeted harassment
  • Make solely-automated decisions producing legal or similarly significant effects on individuals where prohibited by law
  • Attempt to access another customer's tenant, data, or AI execution context
  • Reverse-engineer the platform, its model routing, or its underlying infrastructure
  • Resell, sublicense, or expose Viva Ops capabilities as a public API to third parties without an explicit reseller agreement
  • Bypass usage limits, evade abuse detection, or operate fictitious accounts

Customer Responsibilities

  • Ensure you have rights to upload, process, and route any data you send to Viva Ops
  • Configure access controls so only authorised personnel can publish or trigger workflows
  • Review the outputs of AI agents before applying them to production systems or external recipients
  • Notify us promptly of any suspected compromise of credentials or unauthorised activity in your tenant

Data Ownership & Portability

You retain full ownership of all workflow definitions, integration data, AI outputs, and audit logs you create in Viva Ops. We process this data solely to deliver the service to you. You may export your data in JSON or CSV at any time. Upon account deletion all customer data is permanently purged within 30 days. See our Privacy Policy for full details.

Service Availability

Viva Ops targets 99.9% monthly uptime for the platform control plane (excluding scheduled maintenance announced at least 48 hours in advance). Enterprise customers may receive a higher uptime commitment in their order form. In the event of extended downtime attributable to us, paid subscribers may request a pro-rata service credit equal to the downtime exceeding the SLA.

Third-party AI provider availability and model behaviour change are outside our control; we route around regional model outages where alternative providers are enabled in your tenant.

Intellectual Property

The Viva Ops platform, branding, documentation, and all underlying software are owned by Flexpart Vanta INC. You are granted a limited, non-exclusive, non-transferable licence to use the service during your subscription. You may not copy, modify, or distribute any part of the platform.

Outputs generated by AI agents on your behalf, and the workflow definitions you create, remain your property subject to the underlying model provider terms governing model output.

Confidentiality

Each party will protect the other's confidential information using at least the same degree of care it uses for its own confidential information, and not less than a reasonable degree of care. Confidentiality obligations survive termination for three years.

Limitation of Liability

To the maximum extent permitted by law, Viva Ops' aggregate liability for any claim arising from your use of the service is limited to the fees you paid in the 12 months preceding the claim. Neither party is liable for indirect, incidental, consequential, or punitive damages, including loss of revenue, data, or business opportunities, except in cases of gross negligence or wilful misconduct.

Indemnification

Viva Ops will defend you against third-party claims that the platform infringes any registered intellectual property right, and pay any resulting damages or settlement that we approve.

You will defend Viva Ops against third-party claims arising from your data, your workflows, or your use of AI outputs in violation of these terms or applicable law.

Changes to These Terms

We may update these terms from time to time. For material changes, we will notify you by email at least 30 days before they take effect. Continued use of Viva Ops after that date constitutes acceptance of the revised terms.

Governing Law

These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law principles. Any disputes will first be addressed through good-faith negotiation, followed by binding arbitration under JAMS rules in San Francisco, California, if unresolved.
